Mergers, Acquisitions and Disposals
Brachers’ expert Corporate team advises companies and individuals on M&A corporate transactions.
We can advise on transactions such as:
- share purchases and sales (a sale of the company)
- business and asset purchases and sales.
We regularly act for growing businesses which acquire competitors whether as a “one off” transaction or as part of a “buy and build” strategy. We also act for clients which are looking to diversify into new associated operational areas through acquisition. We also have very strong experience of acting for selling shareholders and have received much praise for our “partnership” approach.
We work very closely with our clients to make the sale process as simple and low-pressure as possible, because we know that whilst selling a business can be a life changing event it can also be emotionally difficult and stressful. Our clients range from owner-managed businesses, to private equity backed companies, to multi-national corporates acquiring or divesting in the UK.
Many of our transactions involve advising on cross-border transactions and dealing with advisers and clients in foreign jurisdictions. M&A transactions are led by our Corporate team with additional areas of specialist advice being provided by our expert commercial property and employment teams to form a multi-specialism “deal team”, comprising corporate, employment and property lawyers.
We have excellent relationships with other professionals in the corporate finance sector and can introduce other, non-legal, advisors, such as lead advisory, due diligence and tax professionals. We also have relationships with law firms in other jurisdictions through which we can source relevant legal advice.
Acting for buyers and sellers of businesses means we have a well-rounded view of the interests of all parties and can share the benefit of that experience.
